- Acted for and advised Allianz SE, one of the world’s leading insurers and asset managers, in a transaction that saw it become the majority shareholder in Jubilee Insurance Company of Uganda Limited (‘Jubilee Uganda’) after the acquisition of a 66% stake in Jubilee Uganda from Jubilee Holdings Limited (JHL), East Africa’s largest insurance group.
- Retained as company secretary and external legal counsel to Mayfair Insurance Company Uganda Limited, Sanlam Insurance Uganda Limited and Marsh Insurance Brokers Limited.
- Acted and advised Marsh Insurance Brokers Uganda Ltd and their Board of Directors in respect of the permits authorization and documentation required to effect their amalgamation with OLEA Insurance Brokers Ltd, both at Insurance Regulatory Authority and URSB.
- With Davis Polk & Wardwell LLP as International Counsel, acted as Uganda counsel for Cipla Quality Chemicals Uganda Limited, a leading manufacturer of anti-retroviral drugs in East Africa in respect to the listing on the Uganda Securities Exchange.
- The firm advised the MTN Uganda Limited’s largest shareholder, MTN Group on its rights and duties in the issuing of its on an IPO and listing of its shares on the Uganda Securities Exchange. In this regard, the firm reviewed the Due Diligence report and prospectus prepared by MTN Uganda Limited local counsel.
- On instructions of Freshfields Bruckhaus Deringer LLP conducted a post listing due diligence exercise on Vivo Energy Uganda Limited to confirm compliance with the JSE and LSE post listing requirements.
- Regularly advise Citibank Uganda Limited, Citigroup N.A. and associated companies on the law and practice pertaining to capital market transactions in Uganda.
- Advised and acted for Unga Millers Uganda Limited on a joint venture partnership with Nutreco International BV.
- Advised the management and Board of Uganda Breweries Limited on minority shareholder matters and other corporate governance matters.
- Advised Rwenzori Rare Metals Limited on the subscription of 684 shares by Ionic Rare Earths Limited (formerly Oro Verde Limited).Registering the share subscription in Uganda.
- Acted for and advised the Seller, Holcim Group Services Limited, a Swiss mining entity, in connection with the sale of 100% of its shareholding in Hima Cement Limited to Sarrai Group.
- Acted for My Dawa Limited, a leading e-pharmacy in Kenya in its expansion into Uganda through the acquisition of a traditional bricks and mortar pharmacy chain which involved the acquisition of one hundred percent (100%) of the share capital of Pharmcent Limited.
- Advised and acted for Triodos Sicav II-Triodos Microfinance Fund (“TMF”), Triodos Custody B.V. (“TFST”) and Stichting Hivos-Triodos Fonds (“HTF/Seller”) in relation to the acquisition of an 18.29% stake in the share capital of Centenary Rural Development Bank Ltd.
- Advised one of the shareholders of a leading fast foods companies in Uganda, Chicken Tonight Limited on a restructuring that involved negotiation of a Shareholder Agreement and acquisition of shares by one of the said shareholders to make her a majority shareholder.
- Acted for and advised Vivo Energy Investments B.V., the pan-African retailer and distributor of Shell and Engen-branded fuels and lubricants agreed to form a non-fuel joint venture to accelerate the roll-out of KFC restaurants in Kenya, Uganda and Rwanda.
